Terms of Sale (CGV)

1. Purpose
These Terms of Sale define the subscription, payment and use of the paid services offered by the Nelyx application, published by Mr. Kadiata Triven, sole proprietor (SIREN 889 890 141).
1 bis. Scope (B2B only)
These Terms of Sale apply exclusively to professional customers acting in the course of their business. By subscribing, the Customer acknowledges having the authority to bind their organization and accepts these terms without reservation.
2. Services
Nelyx is an HR SaaS (leave, absences, scheduling, reporting). Access to paid features requires a monthly or yearly subscription.
3. Pricing
- Prices are shown in euros, excluding VAT, as displayed on /pricing at the time of subscription.
- Prices may change; any change will be notified to the Customer with a 30-day prior notice.
4. Billing & Payment
- Payments and billing are handled via Stripe on behalf of Nelyx.
- Subscriptions renew automatically (monthly/yearly).
- The Customer authorizes automatic charges at each due date. In case of failure, access may be suspended after notice.
- Upgrades/downgrades within a period: pro-rated billing when applicable by Stripe.
- Invoices are available in /billing.
4 bis. Late payments (B2B)
- In case of late payment, late-payment penalties become due without a reminder.
- In addition, a fixed recovery fee of €40 per unpaid invoice is due. If recovery costs exceed €40, additional compensation may be claimed upon justification.
5. Term & Termination
- Subscriptions run on monthly or yearly periods and renew automatically.
- The Customer may cancel anytime from /billing. Cancellation takes effect at the end of the current period.
- Unless required by law, no partial refund is made in case of early termination.
6. Right of withdrawal
For digital services provided immediately after payment, the professional Customer acknowledges and accepts that the right of withdrawal does not apply.
7. Warranties & Liability
- Nelyx uses reasonable means to ensure Service availability.
- Liability is limited to 3 months of subscription fees for proven direct damages only; indirect losses (profit, data, business) are excluded.
- No warranty of fitness for specific needs is provided without a written agreement (SLA/specific contract).
7 bis. Suspension – Customer obligations
- The Customer must use the Service in compliance with applicable laws and these terms.
- The Customer is responsible for the accuracy of data entered and for keeping login credentials confidential.
- Nelyx may suspend access in case of serious breach, security risk, fraud attempt, or repeated payment failures, after notice when applicable.
8. Personal data
Personal data processing is described in the Privacy Policy. Stripe acts as a processor for payment processing.
8 bis. Intellectual property & data
- Nelyx and its licensors retain all intellectual property rights in the Service (software, interfaces, branding).
- The Customer retains ownership of its data. The Customer grants Nelyx a limited license to host and process the data solely to provide the Service.
- Upon termination, the Customer may export its data during a reasonable period, subject to technical constraints and the Customer being up to date with payments.
9. Trial, promotions & coupons
Any trial periods, discounts and coupons are shown at checkout and may be subject to conditions. Nelyx may modify or end these offers at any time.
10. Changes to the Terms of Sale
Nelyx may amend these Terms of Sale. For material changes impacting price or scope, a 30-day notice will be provided (email and/or in-app notice).
11. Governing law & jurisdiction
These Terms of Sale are governed by French law. Any dispute shall be submitted to the courts with jurisdiction over [registered city]. The French version prevails.
